1. Acceptance of the Terms

By creating an account or using the Service, you agree to be bound by these Terms. You represent and warrant that:

  • a. You have read, understand, and agree to be bound by these Terms

  • b. You are at least 16 years of age

  • c. You have the authority to enter into these Terms (on behalf of yourself or, if applicable, the organization that you represent)

If you do not wish to be bound by these Terms, you may not access or use the Service.

2. Changes to the Terms

We may revise these Terms from time to time. We will notify you of any changes by:

  • a. Posting the new Terms on our website and updating the "Last Updated" date above

  • b. Sending an email to the email address you have provided to us for material changes

For existing users, changes will be effective thirty (30) calendar days following notification. For new users entering into these Terms after the new "Last Updated" date, changes will be effective immediately.

  • a. You retain all ownership rights to the content you submit, upload, or store through the Service (your "Content"), including your saved tabs, bookmarks, and organizational data

  • b. You grant us a limited license to use your Content solely to:

    • Provide, maintain, and improve the Service

    • Process your Content as you request through the Service

    • Create backups and ensure data integrity

    • Comply with applicable law or legal processes

  • c. We may anonymize and aggregate your Content (removing all personally identifiable information) to:

    • Analyze and improve Service performance

    • Develop features and functionality

    • Generate usage statistics and analytics

  • d. You represent and warrant that:

    • You own or have necessary rights to all Content you submit

    • Your Content does not violate any third-party rights

    • Your Content complies with applicable laws and these Terms

Service Content:

  • g. Subscriptions automatically renew for successive terms equal to the original subscription term unless you cancel before the renewal date

  • i. Late payments may result in suspension or termination of your account

8. Prohibited Uses

You may not use the Service to:

  • a. Violate any local, state, national, or international law

  • b. Infringe upon or violate our intellectual property rights or the intellectual property rights of others

  • c. Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate

  • d. Submit false or misleading information

  • e. Upload viruses or malicious code

  • f. Collect or track personal information of others without consent

  • g. Spam, phish, or conduct any similar activities

  • h. Interfere with security-related features of the Service

  • i. Engage in any automated use of the system

  • j. Impersonate another user or person

  • a. Termination by You:
You may terminate your account at any time by:

  • Using the account deletion feature in the Service settings

  • Emailing us at support@tabbandit.io

  • Uninstalling the extension

Termination by Us:
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to if you:

  • a. Breach these Terms

  • b. Violate applicable laws

  • c. Engage in fraudulent or illegal activity

  • d. Harm the Service or other users

  • e. Fail to pay fees when due (for Paid Subscriptions)

Effect of Termination:
Upon termination:

  • Your right to use the Service will cease immediately

  • We may delete your account and all associated Content after 30 days

  • Provisions of these Terms that by their nature should survive termination will survive (including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability)

12. WARRANTY DISCLAIMER

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • a. IN NO EVENT SHALL Brr Brands Inc, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

    • Loss of profits

    • Loss of data

    • Loss of use

    • Loss of goodwill

    • Business interruption

    • Or any other intangible losses

  • b. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

    • $100 USD, OR

    • The total amount you paid to us in the twelve (12) months preceding the event giving rise to liability

  • c. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

  • b. Your violation of these Terms

  • c. Your violation of any third-party right, including any copyright, property, or privacy right

  • d. Your Content

  • e. Any claim that your Content caused damage to a third party
    This indemnification obligation will survive termination of these Terms and your use of the Service.

Jurisdiction:
You agree to submit to the personal and exclusive jurisdiction of the courts located in Clark County, Nevada for resolution of any disputes.

Entire Agreement:
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Brr Brands Inc regarding the Service and supersede all prior agreements.

Severability:
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Waiver:

Assignment:

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

We may provide notices to you via email to the address associated with your account or through the Service. You agree that electronic notices satisfy any legal requirement that such communications be in writing.
